Working together

Let’s work toward an agreement
and get you started

Contract review guidelines and exceptions policy

We want this partnership to work. If something in the agreement raises a concern, help us understand what you need to resolve. These guidelines explain how to focus your requests, give our team useful context, and keep the review moving.

Start with a pilot and build from there

Getting started with the standard agreement

We want to make it easier to get started and see what works for your business. Most new client relationships begin with a minimum engagement offered at a significant discount. We structure this initial term as a pilot period, keeping the entry commitment as low as practical while giving both teams a chance to learn how the relationship can grow.

We strongly recommend using the standard agreement for that pilot if its terms work for your business, especially if you want to sign and begin onboarding within the next one to two months. This helps keep the initial focus on getting you set up, using the platform, and understanding the opportunity.

If the pilot gains traction and the relationship grows, both teams may have a stronger business reason to revisit the terms for the next stage. That is a useful point to discuss what a larger or longer-term arrangement could look like and whether different terms make sense for both sides.

The pilot is the initial term stated in your Services Order Form, with its agreed fees and commitments. Raise any requests for a future term early enough to allow for review and applicable renewal or nonrenewal notice deadlines. Any change requires both parties’ agreement; future negotiations, concessions, and onboarding dates are not guaranteed.

Prioritize the issues that matter most to your business

1. Review eligibility and limits

Choose the few changes that would make the biggest difference for your business. A focused list helps both teams understand your priorities and work toward a decision.

The limits below apply to separate proposed amendments, all collected in Section 8, Special Terms, of the Services Order Form.

How many changes you can submit for consideration
Your contract commitmentAmendmentsWords per amendment
Standard reviewContracts that do not meet both expanded-review conditions below.Up to 3100 maximum
Expanded reviewTotal contract value over US$300,000 and a non-refundable upfront payment of at least US$100,000.Up to 7
Four additional amendments
100 maximum

Standard legal provisions: exceptions may be considered only when the initial contract requires a non-refundable upfront payment of at least US$100,000. Below that threshold, review is limited to eligible commercial exceptions in the Services Order Form.

Total contract value means committed fees for the initial term, excluding taxes, optional purchases, uncommitted usage estimates, and potential renewals. A qualifying upfront payment is due upon execution and before onboarding; monthly installments and refundable amounts do not qualify. These thresholds allow consideration only and do not guarantee negotiation or approval.

Put your proposed changes in one place

2. Section 8 format

Write every proposed amendment in full in Section 8, Special Terms. Even if you want to change something in Sections 1 through 7, leave those sections unchanged. Instead, write an override in Section 8 that references the exact section and subsection you want to change and states the complete proposed replacement or exception.

Any amendment that edits the agreement outside Section 8, or is submitted without following the required format and limits, will be rejected without legal review.

Give each amendment its own number, identify the exact provision you want to change, and keep the proposed wording to 100 words, including any related definitions. Unrelated changes count as separate amendments. Attachments, links, and continuation items cannot be used to get around these limits.

We know your counsel may prefer to edit clauses directly. Our contracting process is standardized and automated, so we need one place to identify, review, and put approved changes into practice. Keeping the base agreement consistent and the exceptions together helps us do that.

Use the submission template below to keep your explanation separate from the wording you want included in the contract.

Help us understand what you need to solve

3. Submission requirements

Understanding your concern helps us suggest wording that works for both sides. Send all your proposed Section 8 amendments together through your sales contact, with a separate, brief explanation for each one covering:

  • Why you want this: the business reason the change matters to your organization.
  • The concern or gap: the specific issue the amendment is intended to address.
  • An example scenario: a situation you are concerned about, what could happen, and why it matters.
  • The intended outcome: the protection or practical result you are seeking.

Your explanations do not count toward the 100-word limit. They give us the context to consider alternative language that addresses the same concern. The explanation is supporting information; any wording you want included in the contract must be in Section 8.

If you revise your submission, the new version replaces the previous one and must meet the same limits. Routine completion of customer and commercial fields by our team is not an amendment request.

Copy this format for each amendment

Complete one copy for each request and submit all requests together. The supporting explanation accompanies your submission. Only the proposed contract wording goes in Section 8 and counts toward the 100-word limit.

Let’s work through sticking points together

4. Review process and timing

We want to keep your agreement moving. Clear requests and a direct conversation help both teams reach a decision without unnecessary back-and-forth.

For nonstandard requests, allow a minimum of two to three weeks for our first response addressing your requests, starting when our team confirms receipt of a complete, eligible submission. This is a minimum planning allowance, not a guaranteed response deadline. Review may take longer because we need to assess both the legal effect of the proposed wording and whether we can put it into practice.

We conduct one consolidated written review round. Before any further negotiation or additional written round, a meeting is required with our team, your business decision-makers, and your legal team.

Bringing the right people together gives us a chance to resolve the business concern and work through possible wording. Repeated written exchanges can delay onboarding by months and may prevent us from finalizing an agreement. A meeting does not guarantee approval or a faster response.

Submissions that do not meet these requirements are rejected immediately and are not forwarded for substantive legal review. This includes changes outside Section 8, requests above the amendment or word limits, and requests that do not meet the eligibility requirements. Please bring the submission within these requirements before resubmitting.

Your data and custom content stay yours

5. Confidentiality, ownership, and “exclusivity”

We take protecting your work and your client relationship seriously. Sometimes a request for “exclusivity” really means, “Please don’t share what we build with competitors, sell our custom content, or tell others we are your client.” Those are concerns about confidentiality and ownership, and we want to address them directly.

As a client, you retain ownership of your data and the copyrights in your client-specific custom content and report customizations. These materials remain separate in your client server and database environment. We never share or sell those confidential client-specific materials to other customers.

Your client-specific work and commercial arrangements are highly confidential. We do not identify you as a client or disclose our relationship without your prior written consent. We protect other clients’ identities in the same way. Ownership and confidentiality remain governed by the applicable agreement.

These protections do not depend on an “exclusivity” arrangement.

What a shared platform means for your market

We are a white-label platform company with clients around the world, and we primarily operate in North America. Our platform is designed so each client can customize its content, reports, workflows, and integrations to meet its own business needs.

We cannot promise to prevent another business from competing with you, independently building similar customizations, or choosing the same third-party integration. Another business may see your public-facing work through ordinary market channels and decide to develop something similar, without any disclosure from us. That is not permission to copy your protected materials.

If you believe another company is misusing your protected work, that concern needs to be addressed with that company. We do not disclose our client list to identify who may be using the platform.

A familiar software example

Imagine connecting a CRM such as HubSpot or Salesforce to an outside reporting tool. You would want your private account, data, and custom content protected. That concern is separate from asking the provider to prevent another business from independently choosing the same tool or designing a similar workflow. The same distinction applies here: we protect your confidential materials while other clients can build their own solutions on the platform.

When regional “exclusivity” can be discussed

We do not offer unlimited or unconditional “exclusivity.” A restriction on whom we can serve is a separate commercial commitment, and our existing client relationships must be respected. We do not offer “exclusivity” in North America.

Outside North America, we may discuss regional “exclusivity” case by case only where the contract value is over US$1 million per region and the upfront deposit is over US$300,000 per region.

Meeting these thresholds permits discussion only. Any approved regional “exclusivity” must expressly define the region, scope, duration, and commercial commitments and be documented in Section 8 of the executed Services Order Form.

Make sure everyone knows what is agreed

6. Approval and policy updates

Our legal team may approve or reject any eligible request. Your sales contact can help coordinate the process, but cannot approve legal changes or waive this policy. Sending or discussing a request, or receiving no response, does not mean it has been approved.

An amendment is accepted only after legal approval and inclusion in Section 8 of the final Services Order Form signed by authorized representatives of both parties. The approved wording must clearly identify the provision it overrides and how that provision is changed.

These guidelines and review requirements are subject to change. They explain our review process; they do not change a signed agreement or grant an exception. Updating this page does not change the terms of an agreement already signed.
